Terms and Conditions

Point of Light Life Coaching (a DBA of Stellar Effects LLC)

Last updated: September, 2026

These Terms and Conditions ("Terms") apply to your use of our website and to all coaching services, programs, and resources offered by Stellar Effects LLC, doing business as Point of Light Life Coaching ("we," "us," "the Company"), including coaching delivered by Melissa R. Williams ("the Coach"). By booking a discovery call, purchasing a program, or using our website, you ("Client") agree to these Terms. Coaching clients will also sign a Private Coaching Agreement, which governs your specific package. If the two conflict, the signed Agreement controls.

Our Services

We offer coaching programs in varying formas, delivered virtually via virtual meetings. Each program's session count, duration, support options, and price are described in the signed Agreement and its Attachment A. Coaching is designed jointly with you and may address personal projects, career or business, and general life or wellness goals.

Not Medical, Mental Health, or Professional Advice

● Coaching is not medical care, therapy, psychological counseling, or a substitute for the care of a physician, therapist, or other licensed professional.

● The Coach does not diagnose, treat, or cure any medical or mental health condition.

● If you are under psychiatric care or specialized medical supervision, you must tell the Coach before beginning.

● If you are in crisis or experiencing a medical or mental health emergency, contact emergency services (call 911 in the U.S.) or the 988 Suicide & Crisis Lifeline (call or text 988).

Nurse Coach Scope and Jurisdiction

The Coach provides services as a Nurse Coach under the licensing requirements of the State of Ohio. If you live outside Ohio, the Coach is not acting as a registered nurse or licensed healthcare provider in your location, and nothing she says should be taken as medical advice. You are responsible for making sure that receiving these services complies with the laws and regulations where you live.

No Guarantee of Results

Coaching outcomes depend on your own effort, openness, and circumstances. We make no promise or guarantee of any particular result. Testimonials and examples on our website or in our materials show what may be possible and are not typical or guaranteed outcomes. Dietary, lifestyle, or product suggestions are informational only, are not endorsements, and are entirely your choice and responsibility to act on.

Booking, Scheduling, and Cancellation

● Session dates and times are chosen collaboratively and are expected to be kept once agreed.

● To cancel or reschedule, you must give at least 24 hours' notice. Sessions cancelled or missed with less notice are forfeited, and you remain responsible for the cost, because the Coach cannot offer that time to another client.

● All sessions must be used within the timeframe stated in your Agreement.

Payment

● Payment is due as outlined in your Agreement and Attachment A, and is processed through Stripe.

● Monthly installment payments can be agreed upon at the time a Agreement as long paid in full prior to end of coaching term. If payments are not made in agreed upon installments, coaching can be suspended until payments are up to date.

No Refunds

So that you are fully invested in the process, all payments are final and non-refundable. Because time is reserved for you, unused or missed sessions are not refunded. [Note: some jurisdictions give consumers non-waivable rights; nothing here limits rights you have by law.]

Client Responsibilities

You agree to participate openly and honestly, to try the methods proposed in good faith, to complete any agreed between-session work, and to be responsible for your own decisions and actions.

Communication

Between sessions, support may be provided by email and WhatsApp, with a response time of up to 24 hours on weekdays (as stated in your Agreement). These channels are not for emergencies.

Confidentiality

Coaching conversations and the information you share are treated as confidential by both you and the Coach. The Coach may share information with her contractors or representatives only as needed to deliver your services. Confidentiality does not apply to information obtained rightfully from a third party, and may be set aside where disclosure is required by law or necessary to prevent serious harm to you or others. Confidentiality obligations continue after your coaching ends.

Recording of Sessions

Sessions may be recorded to deliver your services. You will be told in advance when a session is being recorded and how the recording will be used. 1

Intellectual Property

All worksheets, templates, videos, programs, methods, and other materials created or provided by the Coach remain our intellectual property. You receive a single, personal, non-transferable license to use them for your own benefit. You may not copy, resell, share, distribute, or create derivative works from them without written permission.

Third-Party Recommendations

We may recommend third-party providers or products (for example, health, physical therapy, or lifestyle services). These are suggestions only. We are not responsible for third-party services or any resulting outcome.

Disclaimer of Warranties

Services and website content are provided "as is," without warranties of any kind, express or implied, including warranties of quality, performance, non-infringement, merchantability, or fitness for a particular purpose.

Indemnification

Each party agrees to indemnify and hold harmless the other, and its employees and agents, from claims, losses, and expenses (including reasonable attorney's fees) arising from the indemnifying party's negligence, recklessness, willful misconduct, or material breach of the Agreement.

Respectful Conduct and Reviews

Both parties agree to treat each other respectfully and not to engage in communications intended to disparage the other. Nothing in these Terms prevents you from sharing honest reviews or feedback, filing complaints with a government agency, or making truthful statements about your experience as protected by law.

Dispute Resolution and Arbitration

We encourage you to contact us first so we can resolve any concern through good-faith negotiation. If a dispute is not resolved that way, it will be submitted to binding arbitration through the American Arbitration Association (or, for non-U.S. clients, the International Chamber of Commerce). Arbitration will take place in Columbus, Ohio, or by telephone, and should be completed within ninety (90) days of the initial demand. The arbitrator's written decision is final and binding and may be enforced in any court of competent jurisdiction.

Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles.

Good Faith

Each party agrees to act in good faith in entering into, performing, and ending the Agreement.

Website Use and Privacy

You may use our website for lawful, personal purposes only. Website content is protected by copyright and may not be copied or reused without permission. Our handling of personal information is described in our Privacy Policy: [LINK]. Payments are processed by Stripe under Stripes's own terms and privacy policy.

Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above shows the latest version. Changes do not alter a signed Agreement unless made in writing and signed by both parties.

Entire Agreement

These Terms, together with your signed Private Coaching Agreement and its attachments, make up the entire agreement between you and us. Any change to your signed Agreement must be in writing and signed by both parties. If any provision is found unenforceable, the rest remain in effect.

Patient Advocacy Role and Disclosure of Relationship

Melissa R. Williams is a patient advocate and ambassador for people living with MacTel and does paid contract work with Neurotech Pharmaceuticals, Inc. ("Neurotech"), the manufacturer of Encelto. This work is separate from, and not part of, the coaching services offered by Point of Light Life Coaching.

By using our services, you acknowledge that:

● Our coaching programs are not sponsored or endorsed by Neurotech, and nothing we say is a recommendation for or against any medical treatment, including Encelto. Decisions about your care should be made with your own health care providers.

● As part of her advocacy work, the Coach may share broad, general themes about what people with MacTel are experiencing or saying, in order to advocate for education and support programs. These themes are combined and described in general terms, and they will not include your name, contact details, session recordings or notes, or any information that could reasonably identify you.

● We will not share information that identifies you with Neurotech or any other company without your separate written authorization.

● You may tell us at any time that you do not want your experiences included in these general themes. Doing so will not affect your coaching services in any way

For more detail on how we handle your information, please see our Privacy Policy [Point of Light Privacy Policy].

● Safety reporting. If your contract requires you to report adverse events to Neurotech, add a sentence here too, matching the bracketed paragraph in the Privacy Policy.
